General Terms And Conditions Of Sale

ARTICLE 1. PREAMBLE

The company FROD’S DISTRIBUTION (hereinafter referred to as "FROD’S DISTRIBUTION") specialises in the distribution of eyewear products and accessories.

FROD’S DISTRIBUTION offers for sale, via its online store accessible at the URL www.frodslunetterie.com/professionnel (hereinafter referred to as the "Online store"), eyewear items from the FROD'S LUNETTERIE collection (hereinafter referred to as the "Products"). The Products offered by FROD'S DISTRIBUTION through the Online Store are exclusively intended for sale to customers (hereinafter referred to as the "Customer(s)") who considered professionals under these General Terms and Conditions of Sale (hereinafter the "T&C").

Consumers are not therefore authorised to order Products from the Online store.

Only Customers who fulfil the following cumulative conditions will be considered "professional": 

  • registered with the Trade and Companies Register (or any equivalent register if located outside French territory) as operating a retail business reselling eyewear items and accessories to consumers;

  • usually operating at least one physical optical products store retailing eyewear items and accessories to consumers.

ARTICLE 2. PURPOSE

The purpose of these General Terms and Conditions of Sale (hereinafter referred to as the "T&C") is to solely govern purchases of Products via the Online Store by the Customer from FROD’S DISTRIBUTION.

In purchasing the Products from the Online store, the Customer expressly accepts these T&C without reservation.

The Customer acknowledges that it is fully aware that its agreement with the content of these T&C does not require a handwritten signature, as the Products presented in the Online Store are ordered online. In accordance with the French Law of 13 March 2000 on electronic signature, any online purchase order signed by the Customer using a "double click" represents irrevocable acceptance. The "double click" associated with the procedure of authentication, non-repudiation and protection of message integrity represents an electronic signature. This electronic signature has the value of a handwritten signature between the parties.

The computerised registers, kept in FROD’S DISTRIBUTION's computer systems under reasonable security conditions, will be considered proof of communications, orders and payments between the parties. Archiving of purchase orders and invoices will be done on a reliable, durable medium which can be legally produced as proof.

The Customer has the right to save or print these T&C, on the understanding that the saving and printing of this document are its sole responsibility. FROD’S DISTRIBUTION is free to amend its T&C at any time. The version applicable to the Customer will be the version sent to it on the date and time it registers its order on the Online store.

The terms of these General Terms and Conditions of Sale may not be amended by contrary provisions, in particular the Customer's General Terms and Conditions of Purchase, or any other document, without the express written agreement of the parties.

ARTICLE 3. ORDERS

3.1 : Prior opening of a customer account

Prior to its first order via the Online store, Customers must open a customer account by completing a customer account application form including all the identification and contact details of the company (Name of company, SIRET No., Address, Telephone, E-mail, Intracommunity VAT No., Full name of the person placing the order). Mandatory information is marked with an asterisk. The Customer is responsible for the information it enters when creating the customer account. The Customer will create its own password at the same time.

Customers may only place orders once their account has been approved by FROD’S DISTRIBUTION, which will be notified to them by e-mail to the address given on the account application form. FROD’S DISTRIBUTION reserves the right to refuse any account application from a Customer which does not comply with the conditions permitting them to access the offers on the Online store, or an account application form which contains inaccurate and/or incomplete information.

3.2 : Ordering procedure :

Once their account application has been approved, Customers can order Products from the Online store, observing the following procedure:

  • Customers access the Product ordering page by clicking on "My Account" then entering their login (which is their e-mail address) and password.
  • Customers must then select, from the Products offered and described on the Online store, the Product references they wish to order, adding them to the "Basket" and indicating how many Products they wish to order per reference, then clicking on the "Next" tab;

  • Once the basket is complete, Customers click on the "Confirm My Basket" tab;

  • Customers must then enter the information relevant to the order, i.e. the invoicing address and delivery address, then click on the "Next" tab;

  • Customers must then select the chosen delivery method then click on the "Next" tab;

  • The first order should have a minimum of 12 frames which are in stock.

  • A summary of the order is then displayed, which Customers can check and correct if necessary; 

  • Customers then definitively confirm their order by clicking on the "Confirm My Order" tab, once they have specifically accepted these T&C by ticking the appropriate box;

  • Customers then proceed with payment of the total amount of the order. All orders placed on the Online Store are payable by CARTE BLEUE [debit card], VISA, EUROCARD, MASTERCARD, AMEX bank card.

  • The sales contract is deemed entered into once FROD’S DISTRIBUTION has received full payment for the order, as the price is payable as soon as the order has been registered online.

  • Once payment for the order has been received from the Customer, FROD’S DISTRIBUTION will acknowledge receipt by e-mail, sending the order number and the order summary. The receipt acknowledgement will be sent with the paid invoice relating to the order, issued in compliance with the terms of Articles L.441-3 and 441-6 of the French Commercial Code.

  • FROD’S DISTRIBUTION reserves the right to grant on a case by case basis, to Customers with repeat orders of a significant volume, exceptional terms and conditions of payment, by automatic direct debit. Customers benefiting from these exceptional conditions will be given a Customer code which is strictly personal to them, which they must enter on the order form prior to final validation. If payment is made by direct debit, the sales contract is deemed entered into once FROD’S DISTRIBUTION has sent the order confirmation e-mail to the Customer.

3.3 : Product availability

The Products and offers shown by FROD’S DISTRIBUTION on the Online Store are limited to the stock available at FROD’S DISTRIBUTION and/or at FROD’S DISTRIBUTION's partner suppliers.

Before the order is confirmed, the Customer will be informed by FROD’S DISTRIBUTION whether the Products they have selected are available. If one of the selected Products is not in stock, the Customer will be informed by FROD’S DISTRIBUTION, before confirming the order, of the expected timescales for the Product in question becoming available. The Customer will then have the option to remove this Product from the order or to confirm the order, expressly accepting the additional delivery timescales notified to it by FROD’S DISTRIBUTION.

3.4 : Information given by the Customer 

The Customer is responsible for the information entered when placing the order. If any errors are made in the recipient's details (name, address etc.), FROD’S DISTRIBUTION will not be held liable for any delays caused to delivery of the Products. The costs of resending the Products will be borne by the Customer.

3.5 : No right of withdrawal

Given that Customers place orders on a professional basis, they do not benefit from the right of withdrawal set out in Article L. 121-12 of the French Consumer Code.

However, for the first order made on the Online Store after opening the Customer account, the Customer shall exceptionally, for a period of 10 (ten) clear days following delivery of the order, have the option to cancel the order if they are not satisfied with the Products delivered, provided that the order includes a minimum of 15 (fifteen) eyewear items.

To exercise the right of cancellation, Customers must, within the aforementioned time limit, send a recorded delivery letter with receipt acknowledgement to the FROD’S DISTRIBUTION head office. Customers must also return the Products to the same address, in their original packaging, unused and in perfect condition, without any marks or markings, with all the accessories (including any Product presentation information and Point of Sale advertising materials provided by FROD'S DISTRIBUTION, where appropriate). FROD'S DISTRIBUTION will then reimburse the Customer for the full amount of the sums paid on ordering, within a maximum time limit of 30 (thirty) clear days from the date on which the Customer exercised their right of cancellation. If any of the conditions required for Product return are not complied with, FROD'S DISTRIBUTION may deduct from the sums to be reimbursed, where appropriate, part of the sale price corresponding to the sale price for the missing Products, and for the repair, replacement and/or restoration of any damaged Products. The costs of returning the Products will be solely borne by the Customer.

3.6 : Exceptional payment terms :

If the Customer benefits from exceptional payment terms and conditions for a particular order, granted by FROD’S DISTRIBUTION, payment for the order will be made by direct debit from the Customer's bank account, according to the due dates agreed by the parties and stated on the invoice issued by FROD’S DISTRIBUTION. No discounts will be granted for early payment of the invoice.

Payment will only be considered made once the sums are available on FROD’S DISTRIBUTION's bank account. If the Customer defaults on payment, following prior formal notice and up to the date of actual payment, the sum shall bear late payment interest equal to the amount of the invoice multiplied by 10% or 3 times the legal interest rate in force, if the latter is higher than 3.33%, without prejudice to application of the reservation of title clause detailed hereafter.

In accordance with Articles L.441-6 and D.441-5 of the French Commercial Code, FROD’S DISTRIBUTION may also invoice an additional, fixed-rate penalty of 40 Euros for recovery costs, without prejudice to its right to claim from the Customer reimbursement of all the expenses it has incurred in order to recover the unpaid sums, if these expenses are higher than the aforementioned fixed-rate penalty.

FROD’S DISTRIBUTION also reserves the right, if the invoice is not paid on its due date, to suspend fulfilment of the orders in progress until the payment incident has been resolved, and to refuse any new orders and/or quotation requests from the Customer.

ARTICLE 4. PRODUCTS

4.1 : Product compliance

The Products offered for sale by FROD’S DISTRIBUTION on the Online Store comply with current French legislation and the standards applicable in France. FROD’S DISTRIBUTION endeavours to present to the Customer on its Online Store the essential features of these Products, and to display as accurately as possible the photographs, texts, graphics and information, usually provided by the manufacturer or supplier. If any of the said features are changed by the suppliers and/or manufacturers, FROD’S DISTRIBUTION undertakes to rectify this information, according to the information provided by the suppliers and/or manufacturers.

4.2 : Unavailability or delayed availability of a Product

If the availability of a Product is delayed, FROD’S DISTRIBUTION will inform the Customer of the new availability dates announced by the suppliers and/or manufacturers. If a Product is unavailable for a prolonged time, FROD’S DISTRIBUTION will offer the Customer an equivalent replacement Product or will cancel this Product and refund payment, where necessary.

4.3 : Price / VAT

Unless otherwise specifically mentioned, the sale price of the Products presented on the Online Store does not include taxes and carriage costs, which are payable by the Customer. However, if the Customer's total order exceeds €540 before VAT, the carriage costs will be paid by FROD’S DISTRIBUTION, provided that the Customer's delivery address is in mainland France.

All prices are subject to French VAT and any change in the legal rate of VAT will implicitly be passed on to the Product sale price on the date stipulated by the relevant enforcement decree.

ARTICLE 5. DELIVERY

5.1 : Delivery conditions

Products will be delivered to the address indicated by the Customer on its order, FROD’S DISTRIBUTION reserving the right to choose the most suitable method of transport according to the destination, weight and/or volume of the Products. FROD’S DISTRIBUTION reserves the right to deliver several Products on several occasions, at no additional cost to the Customer.

5.2. Delivery times

The timescales within which the Products are provided to the carrier are between 2 (two) working days minimum and 12 (twelve) working days maximum following conclusion of the sales contract, under the conditions set out at Article 3.2 herein. Any delay of the above-mentioned timescale shall not constitute contractual breach by FROD’S DISTRIBUTION, and therefore the Customer does not have the right to cancel the sale, refuse delivery or claim damages from FROD’S DISTRIBUTION. Deliveries are generally made by the carrier within a maximum period of 10 (ten) working days from final conclusion of the sales contract.

5.3 : Delivery terms - acceptance

Customers must be present for delivery. If the Customer is not present, the parcel will be returned to FROD’S DISTRIBUTION. It is understood that FROD’S DISTRIBUTION will not pay the dispatch charges if the Customer requests re-delivery.

It is the Customer's responsibility to ascertain the quantity, quality and compliance of the parcels delivered for their acceptance, in the presence of the delivery person. Any anomalies in delivery (damage, product on the delivery note but not delivered, damaged parcel, broken products etc.) must be noted on the carrier's delivery note in the form of detailed, dated, explicit handwritten reservations, together with the Customer's signature. It is agreed that the words "subject to unpacking", not expressly mentioning the noted anomaly, may not be interpreted as a handwritten reservation. The Customer must notify this anomaly to the carrier at the same time by sending, within 2 (two) working days of delivery, a recorded delivery letter with receipt acknowledgement detailing the said claims. The Customer must also send a copy of this letter (together with the "anomaly statement" obtained from the carrier, where appropriate) by ordinary mail to: FROD’S DISTRIBUTION - 2, Route de Breteuil - 27180 ARNIERE SUR ITON.

Non-compliant or damaged parcels must be immediately refused and the carrier is responsible for returning them to FROD’S DISTRIBUTION's premises. The costs of returning Products noted as defective by the Customer will be reimbursed by FROD’S DISTRIBUTION, provided that the anomaly notified by the Customer is ascertained to exist. Any claim not made according to the above rules and within the specified deadlines may not be taken into account and FROD’S DISTRIBUTION will be released from its liability towards the Customer.

ARTICLE 6. GUARANTEES AND LIABILITY

6.1 : Legal compliance warranty

In accordance with Article 1603 et seq. of the French Civil Code, FROD’S DISTRIBUTION guarantees that the delivered Product complies with the features of the Product ordered by the Customer. Following delivery, the Customer will have 3 (three) working days, or 4 (four) working days if the Customer's delivery address is outside mainland France, to notify any Products that are missing, damaged or do not comply with the order, to FROD’S DISTRIBUTION's Customer Services department, by e-mail to the address given in Article 16 of this contract, attaching a photograph in .JPEG format showing evidence of the non-compliance. The Customer will then return the Products, at its own cost, in the original packaging, with all the accessories (including the information notice). The return costs thus advanced will be fully reimbursed by FROD’S DISTRIBUTION once the non-compliance has been ascertained. FROD’S DISTRIBUTION will then, at its own cost, dispatch any missing Products, repair the Product or dispatch a new equivalent Product, if it is not possible to repair the defective Product.

Any claim not made according to the above rules and within the specified deadlines may not be taken into account and FROD’S DISTRIBUTION will be released from its liability towards the Customer.

6.2 : Hidden defects legal warranty

In accordance with the terms of Article 1641 of the French Civil Code, the Customer is covered against any hidden defects that the Products might contain.

The legal warranty for hidden defects is expressly excluded if the Product has been used, handled or stored by the Customer in conditions that are abnormal, unsuitable or incompatible with its intended use, or contrary to the instructions and recommendations given in the information notice included with the Product on dispatch, or if the cause of the defect lies, even partially, in any misconduct or negligence by the Customer or a third party.

6.3 : Contractual warranty

In addition to the legal warranties detailed above, FROD’S DISTRIBUTION guarantees the quality and working order of the Products sold to the Customer for a period of 3 (three) years from the delivery date. The Customer shall, at its own cost, return the defective Product to FROD’S DISTRIBUTION - 2, Route de Breteuil - 27180 ARNIERE SUR ITON, mentioning the defect on which its contractual warranty claim is based. The return costs thus advanced will be fully reimbursed by FROD’S DISTRIBUTION once the defect has been ascertained. FROD’S DISTRIBUTION will then, at its own cost, repair the Product or dispatch a new equivalent Product, if it is not possible to repair the defective Product. The above-mentioned contractual warranty is expressly excluded if the Product has been used, handled or stored by the Customer and/or the end user of the Product in conditions that are abnormal, unsuitable or incompatible with its intended use, or contrary to the instructions and recommendations given in the information notice included with the Product on dispatch, or if the cause of the defect lies, even partially, in any misconduct or negligence by the Customer and/or the end user of the Product and/or a third party.

Any claim not made according to the above rules and within the specified deadlines may not be taken into account and FROD’S DISTRIBUTION will be released from its liability towards the Customer.

6.4. Guarantee to take back unsold goods

The Customer will exceptionally, for 6 (six) months following delivery of the order, benefit from the option to return to FROD'S DISTRIBUTION, for reimbursement, any unsold items from the said order, provided that it places a new Product order containing double the number of eyewear items as the unsold items taken back by FROD'S DISTRIBUTION.

To exercise its right to send back unsold items, the Customer must send its request to FROD'S DISTRIBUTION within 6 (six) months from delivery of the Products in question, by resending the said Products at its own cost to the FROD'S DISTRIBUTION head office, in their original packaging, unused and in perfect condition, without any marks or markings, with all the accessories (including any Product presentation information and Point of Sale advertising materials provided by FROD'S DISTRIBUTION, where appropriate). FROD’S DISTRIBUTION will then issue a credit note for the sale price of the returned Products, which will be charged against the amount of the invoice for the new order it must make in order to validate return of its unsold products. If any of the conditions required for Product return are not complied with, FROD'S DISTRIBUTION may deduct from the sums to be reimbursed, where appropriate, part of the sale price corresponding to the repair, replacement and/or restoration of any unsold return items that have been damaged by the Customer.

6.5. Liability

FROD’S DISTRIBUTION is liable for direct material loss caused to the Customer as a result of misconduct attributable to FROD’S DISTRIBUTION, to the exclusion of any intangible and/or indirect loss. Material loss caused by FROD’S DISTRIBUTION will be compensated specifically within the limit of the total amount of the order placed by the Customer.

6.6. MONEY BACK GUARANTEE

For each order it makes on the Online Store, the Customer will exceptionally, for 8 (eight) days following delivery of the said order, benefit from the option to return to FROD'S DISTRIBUTION the totality of the said order.

To exercise its right to send back unsold items, the Customer must send its request to FROD'S DISTRIBUTION within 8 (eight) days from delivery of the Products in question, by resending the said Products at its own cost to the FROD'S DISTRIBUTION head office, in their original packaging, unused and in perfect condition, without any marks or markings, with all the accessories (including any Product presentation information and Point of Sale advertising materials provided by FROD'S DISTRIBUTION, where appropriate). FROD’S DISTRIBUTION will then issue a credit note for the sale price of the returned Products, which will be charged against the amount of the invoice for the new order it must make in order to validate return of its unsold products. If any of the conditions required for Product return are not complied with, FROD'S DISTRIBUTION may deduct from the sums to be reimbursed, where appropriate, part of the sale price corresponding to the repair, replacement and/or restoration of any unsold return items that have been damaged by the Customer.

 

ARTICLE 7. RESERVATION OF TITLE

The transfer of title over the Products sold to the Customer shall not take place until full payment of the principal price and ancillary charges has been made by the Customer. Only actual encashment of the Customer's money by FROD’S DISTRIBUTION constitutes actual payment. Failure to pay one of the invoices due may result in a claim for return of the Products sold. These provisions do not prevent transfer to the Customer, upon delivery, of the risks of loss and damage of the Products sold and any loss they might cause.

The Customer is authorised, as part of its normal business operations, to resell the Products before full payment has been made. In this event, it will inform its own customers that the resold Products are subject to a reservation of title clause. This authorisation will be automatically withdrawn if payment is not made. The Products still in the Customer's possession will be assumed to be unpaid Products.

ARTICLE 8. CASES OF FORCE MAJEURE

If a case of force majeure should arise which prevents FROD’S DISTRIBUTION from performing its obligations, the sales contract will be immediately suspended, with effect from the notification sent by FROD’S DISTRIBUTION to the Customer, by e-mail, fax or recorded delivery with receipt acknowledgement.

FROD’S DISTRIBUTION will notify the Customer when the event preventing performance of the Contract ends, by e-mail, fax or recorded delivery with receipt acknowledgement, and the sales contract will immediately resume from the date of said notification.

If the event continues for more than one month from the date of notification, the sales contract will be deemed terminated as of right.

The sums received by FROD’S DISTRIBUTION prior to termination of the sales contract will then be refunded to the Customer.

An event of force majeure is any event making it impossible, or clearly more difficult, to perform an obligation due to the unforeseeable, inevitable or exterior nature of the event, these three criteria being alternative, such as fire, flood, paralysis of road transport or other routes, shortage of energy supply, telecommunications and computer network blockages etc. and any other event considered by the law or case law as an event of force majeure.

ARTICLE 9. PENALTIES AND OFFSETTING

FROD’S DISTRIBUTION hereby states that any offsetting and arbitrary deduction of penalties are sanctioned by Article L. 442-6-I-8° of the French Commercial Code. No issuing of debit notes, invoicing of penalties or deduction of penalties or discounts of any kind whatsoever by offsetting may be made by the Customer without the prior, express, written agreement of FROD’S DISTRIBUTION.

ARTICLE 10. TERMINATION

Any serious breach by either party of any one of its essential contractual obligations shall permit the other party to terminate the contract as of right, without legal intervention, one month after a formal notice has been sent to the defaulting party by recorded delivery with receipt acknowledgement, which has not been remedied, without prejudice to any damages which the non-defaulting party might claim against the defaulting party as a result of its failure to comply with its contractual obligations.

ARTICLE 11. FORBEARANCE

The fact that one of the parties has not noted breaches by the co-contracting party of its obligations shall not constitute waiver of its right to subsequently claim performance or note any subsequent contractual breaches.

ARTICLE 12. INTERPRETATION

Any setting aside of one or more clauses of this contract by a Judge shall not affect the validity of the other provisions.

ARTICLE 13. PROTECTION OF PERSONAL DATA

13.1 : Security and confidentiality

FROD’S DISTRIBUTION has put in place security measures to protect the Customer's personal data against any unauthorised access by third parties or any misuse of its network and its databases. However, FROD’S DISTRIBUTION cannot guarantee that the personal data will not be intercepted while in transit over the Internet. FROD’S DISTRIBUTION guarantees the Customer firstly, that it will respect the confidentiality of the personal data it sends and secondly, that it will not send the said personal data to third parties.

13.2 : Purpose of using the personal data

FROD’S DISTRIBUTION may collect the personal information and data from the Customer (name, address etc,) necessary to enable it to process and ship the order and issue the invoice. FROD’S DISTRIBUTION may use these data for internal statistical purposes to improve the quality of the service it provides to Customers, but it will only retain the data for the time required to produce these statistics, in accordance with its legal obligations.

FROD’S DISTRIBUTION may also send the Customer, to the e-mail address provided, any information on new Products available for sale and current promotions. If the Customer does not wish to receive such messages, they can indicate this by unticking the box "I agree to receive information from FROD’S DISTRIBUTION" at the time of ordering.Likewise, if the Customer no longer wishes to receive messages, they can amend their preferences by clicking on the link "I no longer wish to receive information from FROD’S DISTRIBUTION" on the e-mail received.

Finally, the Customer expressly authorises FROD’S DISTRIBUTION to transfer, rent or exchange the personal data thus collected, which may be used by third parties for the marketing purposes.

The collection and processing of the above-mentioned personal data has previously been the subject of a simplified declaration by FROD’S DISTRIBUTION to the French Data Protection Agency (Commission Nationale de l’Informatique et des Libertés or CNIL) in accordance with Simplified Standard no. 48 contained in CNIL Deliberation No. 2012-209 of 21 June 2012, concerning creation of a simplified standard for automatic processing of personal data relating to management of customer and prospective customer records.

13.3: Right to access, correct and remove personal data

In accordance with the French Data Protection Law no. 78-16 of 6 January 1978, Customers have the right to access, correct, amend and remove their personal data, which they may exercise at any time by sending an e-mail to the FROD’S DISTRIBUTION Customer Services department, whose details are given in Article 16 of this Contract.

13.4 Use of Cookies containing information relating to Internet browsing

We intend to install a cookie on your computer. A cookie does not enable us to identify you. As a general rule, it records information on browsing of our site by your computer (the pages you have viewed, date and time of viewing etc.) that we can read when you make subsequent visits. In this case, it is likely to contain information that you have supplied to us by filling in the forms we have provided on our Online store. This way, the next time you visit the store, you will not need to fill in the form again. You can remove the cookies from your browser at any time, or object to the cookies being saved on your computer by reconfiguring your browser.

ARTICLE 14. INTELLECTUAL PROPERTY

The general structure of the Online store, the texts, data and graphic elements, animated or not, are protected as such by the intellectual property laws, in particular by the laws on copyright and protection of designs, models and trademarks, and by international treaties.

The general structure of the Online store, the texts, data and graphic elements appearing therein and the "FROD’S" trademarks must not under any circumstances be modified, reproduced, displayed, presented, distributed or used for public or commercial purposes.

Any person who downloads or collects the information published on the Online Store shall only have a right of private, personal and non-transferable use over it. The information collected may only be reproduced once in printed or digital format. Any use of the information collected must mention its source.

The protected works reproduced on the Online Store not belonging to FROD’S DISTRIBUTION have received express, prior authorisation of reproduction from the rightholder.

Hyperlinks pointing to other sites, mainly to partners of FROD’S DISTRIBUTION, have been previously and expressly authorised. Links are provided for the personal convenience of web users, and FROD’S DISTRIBUTION does not exercise any control over these sites, and does not accept any liability for them, as the pages are the sole responsibility of their owners.

Reproduction of a page of the Online Store in a framework not belonging to FROD’S DISTRIBUTION or insertion of a page belonging to FROD’S DISTRIBUTION on the page of a site not belonging to FROD’S DISTRIBUTION is prohibited.

ARTICLE 15. APPLICABLE LAW AND JURISDICTION

This contract is governed by French law.

Any dispute concerning the conclusion, performance, interpretation and/or assignment of this contract shall come under the sole jurisdiction of the courts in the area of FROD’S DISTRIBUTION's head office, whether it involves an urgent application, third party proceedings or multiple defendants.
